What sellers should know about Amazon

Amazon's strategic priorities

The 10-K names four guiding principles (customer obsession, invention, operational excellence, long-term thinking) and lists AWS, a satellite broadband network and autonomous ride-hailing among its investment areas. On the Q2 2026 call, Jassy said AWS could become a trillion-dollar annual revenue business in time, and that same-day perishables now reach 2,300 U.S. cities. A pitch that ties to one of these named programs lands with an owner who already has budget.

The full Databahn report maps each priority to the executive who owns it.

What Amazon's executives are paid to deliver

Named executives earn base salaries of $365,000 or less, receive no annual cash bonus, and are paid mainly in restricted stock units that vest over five years or more. The proxy states that pay is tied to no discrete performance goals; value comes from the stock price. Jassy has received no new equity award since 2021, and 78% of votes cast supported the 2025 say-on-pay proposal. Sellers who frame value around long-term free cash flow, the company's stated financial focus, match how leadership is measured.

The full Databahn report connects this pay design to how each business unit weighs a vendor decision.

Amazon's spending and capital plans

Cash capital expenditures were $128.3 billion in 2025 and $96.3 billion in the first half of 2026. Management now expects about $220 billion in 2026 cash capex, up from about $200 billion, citing higher memory costs, and plans to double power capacity from 2025 levels by the end of 2027. Trailing twelve-month free cash flow was negative $7.6 billion as of June 30, 2026. Infrastructure, energy, construction and supply chain vendors can size their opportunity against a published number.

The full Databahn report breaks down where this spend concentrates and who signs off on it.

Acquisitions and strategic investments

Amazon agreed on Apr. 13, 2026 to acquire Globalstar, Inc. in a deal valued at about $10.9 billion including debt, with closing expected in 2027. It invested $10.0 billion in Anthropic preferred stock in Q2 2026. It also bought $15.0 billion of OpenAI Series C preferred stock in Q1 2026 and committed $35.0 billion more, funding the last $21.3 billion after June 30, 2026. The last disclosed acquisition of scale was One Medical, bought for about $3.5 billion in February 2023. Each deal brings integration work in systems, security, finance and HR.

The full Databahn report shows which integrations are open and the teams leading them.

Technology and AI initiatives

AWS reports custom chip and AI revenue run rates each above $25 billion, both growing at triple-digit rates. Named products include Amazon Bedrock, Bedrock Agents, SageMaker AI, Amazon Q, Kiro, AWS Transform and AWS Continuum, a recently released code-vulnerability service. Graviton runs for 98% of the top 1,000 EC2 customers, and Amazon expects to more than double its fleet of Cardinal and Sparrow robotic arms in 2026. Vendors whose products run on, or compete with, these services need a clear view of where Amazon builds and where it buys.

The full Databahn report sorts each initiative by build, buy or partner, with the leader attached.

Risk factors and pressure points

Amazon's 10-K flags competition across retail, cloud, devices and advertising, regulation in China and India, reliance on a limited group of suppliers for AI chips and GPUs, and security incidents. The filings disclose a $2.5 billion FTC settlement charge in Q3 2025, an Italian competition fine reduced to €752 million and under appeal, and an International Trade Commission patent investigation instituted in June 2026 that names AWS UltraServers. Offers that reduce one of these named risks get a hearing faster than general efficiency claims.

The full Databahn report ranks these pressure points by business unit.

How Amazon approves vendors

Item 1C of the 10-K describes processes to oversee cybersecurity risk from third-party technology, including AI tools, encryption and authentication, employee email, content delivery and back-office systems. Amazon runs application security assessments, penetration testing and security audits, and suppliers of goods and services must follow its Supply Chain Standards. Knowing these gates before the first meeting shortens the path from pilot to purchase order.

The full Databahn report outlines the review stages a new vendor typically clears.

Who owns security and data decisions

Amazon's chief security officer reports directly to the CEO and oversees chief information security officers for business units, including AWS. The board's Security Committee, chaired by Daniel P. Huttenlocher, oversees security infrastructure and data protection compliance; the Audit Committee reviews data privacy; and the Nominating and Corporate Governance Committee oversees responsible AI governance. The S-team page names Steve Schmidt as Chief Security Officer. Security, privacy and AI governance sellers can see exactly which committee receives the reporting.

Leadership changes at Amazon

Cybersecurity executive Kevin R. Mandia joined the board on Sept. 8, 2026. Director Keith B. Alexander, former Chair and CEO of IronNet, Inc., did not stand for re-election in May 2026. Matthew S. Garman became CEO of AWS in June 2024, and David A. Zapolsky took the Chief Global Affairs & Legal Officer title in February 2025. Amazon recorded about $2.7 billion in 2025 severance costs for planned role eliminations. New leaders reset vendor reviews, and board additions signal which topics directors want to hear about.

The full Databahn report tracks each change and what it opens for outside vendors.

Shareholder pressure

Amazon received 13 shareholder proposals for its 2026 annual meeting; it excluded seven, two were withdrawn, and four went to a vote: a report on charitable partnerships, data center impact on climate commitments, the cost of climate commitments, and an independent board chair policy. The board recommended against all four. Climate and data center scrutiny from investors raises the value of vendors who can document energy and water results.

The full Databahn report connects each shareholder theme to the team that answers for it.

Amazon locations by territory

Fiscal 2025 net sales were $489.7 billion in the United States, $45.9 billion in Germany, $43.2 billion in the United Kingdom, $30.7 billion in Japan and $107.5 billion in the rest of the world. North American fulfillment, data center and other facilities total 474.1 million leased and 45.8 million owned square feet. Corporate headquarters sit in Washington's Puget Sound region and Arlington, Virginia. Territory sellers can size Amazon's footprint in their region before they build a plan.

The full Databahn report maps regional leaders to these territories.

What Amazon's management told analysts

For Q3 2026, Amazon guided net sales of $197.0 billion to $202.0 billion and operating income of $22.5 billion to $26.5 billion. Jassy said Amazon will lack enough capacity to meet 2026 demand even at $220 billion of capex, that most 2027 capacity is already reserved, and that Amazon is in talks to provide Trainium chips to customers outside AWS. AWS backlog stood at $496 billion. Commitments stated on an earnings call become the goals executives are measured against for the rest of the year.

The full Databahn report turns each commitment into a talk track for the team that owns it.
