Bank of America Org Chart: Corporate Structure, Board of Directors and Executive Leadership (2026)

Updated October 19, 2026. Financial figures as of the third quarter of 2026 unless noted. Prepared by Databahn from SEC filings, the 2026 proxy statement, the Q3 2026 earnings call, Bank of America’s leadership pages and cited news sources.

Bank of America Corporation (NYSE: BAC) is led by Brian T. Moynihan, Chair of the Board and Chief Executive Officer, with Alastair Borthwick as Chief Financial Officer and Lionel L. Nowell III as Lead Independent Director of a 12-member board. The Charlotte-based bank holding company reports four business segments (Consumer Banking, Global Wealth and Investment Management, Global Banking and Global Markets) plus All Other, held $3.4 trillion in assets at the end of Q3 2026, and operates its main bank through Bank of America, N.A. Sources: FY2025 Form 10-K, 2026 proxy statement, Q2 2026 Form 10-Q and the Q3 2026 earnings call.

Two items shape the bank right now. Q3 2026 net income of $6.9 billion included a $1.2 billion regulatory settlement with the OCC and FinCEN that resolves the penalty in the 2024 cease and desist order (Q3 2026 earnings call). Bank of America also added 1,000 contractors in Q2 2026 to fix software vulnerabilities surfaced by Anthropic’s Mythos AI model (Business Insider via Yahoo Finance, Oct. 15, 2026).

Bank of America seller intelligence: what the filings show

Bank of America’s strategic priorities

Moynihan runs the company under Responsible Growth, and the 2026 proxy organizes the franchise into eight lines of business: Retail Banking, Preferred Banking, Business Banking, Global Commercial Banking, Global Corporate and Investment Banking, Global Markets, Merrill and the Private Bank. In Q3 2026 the bank added 200,000 net new checking accounts and more than 1 million new card accounts, opened 14 financial centers and planned about 20 more by year end (Q3 2026 earnings call).

Management is committing to 200 to 300 basis points of operating leverage over the medium term, with revenue growth outpacing expenses again in Q4. A proposal that adds revenue or removes cost lines up with the number leadership has promised investors.

The full Databahn report maps each line of business to the executive who runs it and the initiatives funded this year.

What Bank of America’s executives are paid to deliver

Moynihan’s 2025 pay was $41.0 million, with a $1.5 million salary and 96.3% of the total variable and paid in equity. Performance restricted stock units pay out on two equally weighted three-year measures: average return on assets and growth in adjusted tangible book value. On the ROA measure, a 100% payout requires at least 90 basis points and the 150% maximum requires 110 basis points; the proxy says hitting the maximum would take more annual net income than the company has ever reported (2026 proxy).

Other named executive officers earned $26.0 million (Athanasia), $31.0 million (DeMare), $22.0 million (Koder) and $20.0 million (Borthwick). Pay decisions are scored against the four tenets of Responsible Growth, so a business case framed in returns on assets speaks the measure leadership is paid on.

The full Databahn report connects each named executive’s scorecard to the outcomes your solution can influence.

Bank of America spending and capital plans

Q3 2026 noninterest expense was $19.7 billion, or about $18.5 billion excluding the regulatory settlement. Moynihan put technology development at about $4 billion a year in change spending and said the teams are 10% more efficient, so next year buys 10% more work for the same cost (Q3 2026 earnings call). Compensation and benefits ran $42.3 billion in 2025 (Form 10-K).

Capital return is steady. The bank returned $8.3 billion to shareholders in Q3, including $6 billion of buybacks, and raised the quarterly dividend 14% to $0.32 in July. At June 30, 2026, $16.965 billion remained under the $40 billion repurchase authorization (Form 10-Q, Q2 2026).

The full Databahn report breaks the technology budget into its spending categories and shows where new-project dollars are concentrated.

Acquisitions, divestitures and partnerships

Growth at Bank of America is organic. On the Q3 call, management credited client acquisition and deeper relationships with existing clients, and the commercial bank added more than 300 new companies year to date. Inside the corporate structure, the 10-K says the company is cutting its number of legal entities through intercompany mergers.

Real estate partnerships stay close to home. In Q1 2026 the bank extended the lease on its principal New York office, Bank of America Tower at One Bryant Park, to 2049. It owns a 49.99% equity interest in the property, so the 10-Q reports the lease as a related-party transaction. Vendors who help existing businesses scale fit the way this bank grows.

The full Databahn report details the entity consolidation and system work underway, by business line.

Bank of America technology and AI initiatives

Hari Gopalkrishnan has been Chief Technology and Information Officer since August 2025 (Form 10-K). On the Q3 call Moynihan said about 130 AI projects are implemented, with benefits expected to rise from $250 million to $300 million this year to $700 million next year. The commercial bank launched a GenAI tool for prospecting and onboarding in September, and Erica is now capable of helping consumers on an agentic basis.

About 50 million clients use digital banking and 42 million use mobile (Form 10-Q, Q2 2026). With AI savings already in the budget plan, tools that show measurable productivity gains match how the bank is funding its technology.

The full Databahn report maps the technology stack by function, with the incumbent in each category.

Risk factors and pressure points

The 10-K risk factors name AI and quantum computing as sources of operational risk, warn that third-party systems carry varying levels of security, and flag competition from fintechs, stablecoins and digital assets. The G-SIB capital surcharge rises to 3.5% in 2027. The December 2024 OCC consent order on Bank Secrecy Act, anti-money laundering and sanctions practices drove the $1.2 billion Q3 settlement; Moynihan confirmed it carries no asset cap.

Mythos added a second remediation track. Anthropic released the model in April 2026 to a small group of banks, technology firms and government agencies (The Paypers, Oct. 19, 2026). Bank of America brought in 1,000 contractors in Q2 to patch flaws in internal and vendor code, and Moynihan put Q3 spending on AML and Mythos remediation combined at “a couple hundred million plus” (Q3 2026 earnings call).

The full Databahn report ties each risk theme to the internal owner and the remediation work underway.

How vendors get approved at Bank of America

The 10-K describes an enterprise-wide program that sets standards for the planning, sourcing, management and oversight of third-party relationships, including any third-party access to systems, facilities or confidential data. Third-party service providers must meet set security requirements, and where the contract allows, the bank runs cybersecurity diligence on each provider’s program.

The board receives quarterly metrics on third-party cybersecurity risks and incidents, and the 10-K states the bank relies on third parties to detect and promptly report incidents and vulnerabilities. Expect incident-reporting terms and a security review to arrive early in any contract cycle.

The full Databahn report outlines the review stages a new provider passes through and who signs off at each.

Who owns security and data decisions

The board’s Enterprise Risk Committee, chaired by Clayton S. Rose, reviews cybersecurity risk and approves the Global Information Security Program and Information Security Policy each year. Members include Maria N. Martinez, former Chief Operating Officer of Cisco. The committee and the full board receive regular reports from the CTIO and the Chief Information Security Officer (Form 10-K, Item 1C).

The CISO leads more than 3,400 information security professionals. The program runs on three lines of defense: Global Information Security manages it day to day, Global Compliance and Operational Risk tests it, and Corporate Audit, led by Chief Audit Executive Len Botkin, validates both.

The full Databahn report names the leaders below the executive team who run security, data and architecture decisions.

Leadership changes at Bank of America

• Sept. 2025: Dean Athanasia and Jim DeMare became Co-Presidents, and Alastair Borthwick took the title Executive Vice President and Chief Financial Officer (Form 10-K, Item 10).
• Aug. 2025: Hari Gopalkrishnan became Chief Technology and Information Officer after leading consumer, business and wealth technology.
• May 4, 2026: Two directors retired at the annual meeting, leaving a 12-member board.
• Oct. 14, 2026: Asked about succession in his 17th year as CEO, Moynihan said “It’s the board’s decision.”

DeMare’s move left Global Markets with two co-heads, Denis Manelski and Soofian Zuberi. Each change resets who sets priorities in that part of the bank.

The full Databahn report tracks each new leader’s background and the mandates they brought with them.

Systems and business transformations

Bank of America relaunched BofA Rewards in May 2026 and enrolled nearly 6 million clients by the Q3 call. It early-adopted the final supplementary leverage ratio rule on Jan. 1, 2026, and is tracking capital proposals issued on March 19, 2026 (Form 10-Q, Q2 2026). In Q4 2025 it changed its accounting method for tax-related equity investments (Form 10-K).

No change in internal control over financial reporting was reported for Q2 2026 (Form 10-Q, Item 4). Headcount fell by about 3,500 in a year while client-facing staff grew, which Borthwick tied to productivity gains.

The full Databahn report covers which platforms are mid-migration and where the next replacement decisions fall.

Shareholder pressure

Say on Pay passed with 73.6% support in 2025. For the May 4, 2026 meeting, the board recommended against a National Legal and Policy Center proposal to require an independent board chair; similar proposals drew 67% opposition in 2017, 69% in 2018, 73% in 2023 and 68% in 2024. It also opposed a proposal seeking a report on animal welfare risk (2026 proxy).

On the Q3 call, analyst Mike Mayo raised CEO succession directly. With pay and governance in steady view of investors, a proposal tied to return on assets is easier for leadership to defend.

The full Databahn report explains how investor scrutiny shapes approval thresholds for new spending.

Bank of America locations by territory

Bank of America owns or leases about 62.9 million sq. ft. in more than 19,600 facilities and ATM locations, about 56.9 million of it in the United States (Form 10-K, Item 2). Key sites include its owned 60-story headquarters in Charlotte, One Bryant Park in New York, the Bank of America Financial Centre in London and Cheung Kong Center in Hong Kong. Retail banking covers 38 states and the District of Columbia, and about six million sq. ft. sits in more than 35 countries.

About 77% of employees work in the U.S. (Form 10-K). The branch network keeps expanding into new markets, including five branches opening in Milwaukee in October 2026.

The full Databahn report shows which teams and decision makers sit in each hub.

What Bank of America management told analysts

On the Oct. 14, 2026 call, management guided net interest income growth of about 8% in 2026 and 8% or more in 2027, assuming three 25 basis point rate increases in December 2026, March 2027 and June 2027. Net interest yield was 2.16% against a 2.3% target. Wealth flows were about $41 billion and client balances reached $5.7 trillion.

Borthwick said the cost of consent order work and higher technology spending is already in the run rate, and Moynihan expects Mythos remediation costs to run down. Reservable criticized exposure fell 25% to $19.9 billion.

The full Databahn report turns each commitment into the conversation openers that line up with it.
