What sellers should know about Home Depot
Home Depot's strategic priorities
Home Depot names three priorities in its 10-K: driving its core and culture, delivering a frictionless interconnected experience across stores and digital, and winning with Pros. On the August 18 call, management said Pro comps were positive and outpaced DIY. A pitch framed around one of these three lands in a budget that already exists.
The full Databahn report ties each priority to the executives who own it and the initiatives funded under it.
What Home Depot's executives are paid to deliver
Fiscal 2025 bonuses were weighted 50% on sales, 30% on operating profit, 10% on inventory turns and 10% on a Pro goal: growth in Pro managed-account sales. Long-term performance shares pay on three-year average ROIC and operating profit. Sellers who connect a pitch to these metrics speak the language leadership is measured in.
The full Databahn report maps each metric to the executive who owns it and the questions that open that conversation.
Home Depot's spending and capital plans
Home Depot spent $3.7 billion on capital expenditures in fiscal 2025 and plans about $4 billion in fiscal 2026, roughly 2.5% of sales. The 2026 plan includes about 15 new stores and 40 to 50 new SRS branches. Share buybacks stay paused while the company pays down debt.
The full Databahn report shows where that capital is flowing by function and which budgets are still being set.
Acquisitions and integrations
Home Depot bought SRS Distribution in June 2024 for about $18.0 billion. SRS then acquired GMS on September 4, 2025 for $5.1 billion in purchase consideration (about $5.5 billion including GMS debt repaid at closing) and Mingledorff's, an HVAC distributor in the southeastern U.S., on May 11, 2026 for about $1.1 billion. Management expects about $400 million in cross-selling across the system in 2026.
The full Databahn report maps which integration decisions are still open and who is making them.
Technology and AI at Home Depot
Named tools include Magic Apron, an AI assistant now fielding millions of questions a month; an AI-powered Material List Builder and Blueprint Takeoffs tool for Pros; Computer Vision for on-shelf availability; and Sidekick on associates' hdPhone devices. In August 2026 Home Depot rolled out three-hour Express Delivery nationwide. The 10-K also describes cloud migration and testing of generative AI.
The full Databahn report profiles the technology stack behind these programs and where replacements are underway.
Risk factors and pressure points
The 10-K flags aging legacy systems being replaced, cyberattacks including nation-state threats, tariffs and trade policy, shrink from organized retail crime, and labor costs. On the August call, management said housing turnover has sat near historic lows for four years, and that fuel, energy and commodity costs rose beyond plan in 2026.
The full Databahn report links each risk to the team accountable for it and the spend it is driving.
How vendors get approved at Home Depot
Home Depot runs a third-party risk management program that scores vendors on data sensitivity and system access, then applies detailed control assessments and continuous monitoring. Vendors that handle personal data go through privacy impact assessments, and sensitive cases get a second review by a privacy committee. A Product Solutions Review Board also sits in the process.
The full Databahn report walks through who sits on each review step and what they ask vendors for.
Who owns security and data decisions
The Chief Information Security Officer reports to the CIO. A Data Security and Privacy Governance Committee, chaired by the Vice President of Internal Audit and Corporate Compliance and including the CEO, meets quarterly. Two committees report to it: one chaired by the CISO and one chaired by the Chief Privacy Officer across about 20 departments. The board's Audit Committee holds primary oversight.
The full Databahn report names the leaders in these roles and their direct teams.
Leadership changes in 2025 and 2026
Franziska Bell joined as EVP and Chief Technology Officer on April 6, 2026, reporting to the CEO. A realignment announced July 30, 2026 unified core and private-label merchandising under William (Billy) Bastek, combined customer experience, online, financial services and loyalty under Jordan Broggi as EVP, Interconnected Retail, created an Office of Pro Acceleration led by CFO Richard McPhail across Home Depot Pro, HD Supply, SRS and Construction Resources, and moved store, supply chain and Pro product technology teams into Bell's organization. CEO Ted Decker began a medical leave on August 12, 2026, with interim duties split between Ann-Marie Campbell, McPhail and Lead Director Greg Brenneman. Earlier changes include Angela Brown as CIO (May 2025) and Stephanie Smith as head of Human Resources (June 2025).
The full Databahn report tracks each change down to the teams and priorities that moved with it.
Systems and business transformation
Home Depot's latest 10-Q describes an ongoing business transformation that includes upgrading and migrating accounting and finance systems, with more business processes moving over the next few years. GMS was also excluded from the fiscal 2025 internal controls assessment because it was newly acquired.
The full Databahn report identifies the systems in scope and the program owners behind the migration.
Shareholder pressure
Seven shareholder proposals reached the 2026 ballot, covering customer data privacy (including license plate reader cameras), plastics and packaging, an independent board chair, biodiversity, associate healthcare access and charitable giving. The board recommended against all seven, and said it will expand disclosure on third-party vendor risk.
The full Databahn report shows which of these issues are shaping vendor requirements.
Home Depot locations by territory
At the end of fiscal 2025, the largest U.S. store counts were California (247), Texas (190), Florida (163), New York (101) and Georgia (90). Ontario led Canada with 88 stores and Mexico had 142 stores. SRS adds more than 1,340 branches in the U.S. and Canada.
The full Databahn report breaks locations down by region and field leadership for territory planning.
What management told analysts in August 2026
On August 18, Home Depot reaffirmed fiscal 2026 guidance: comparable sales flat to up 2%, total sales growth of about 2.5% to 4.5%, and mid-single-digit organic growth at SRS. Q2 online sales grew 11%, and 90% of stores closed a sale through SRS via QuoteCenter in the prior 12 months.
