Netflix, Inc. (NASDAQ: NFLX) is led by co-Chief Executive Officers Ted Sarandos and Greg Peters, who also share the title of President, with Spencer Neumann as Chief Financial Officer and Jay Hoag as independent Chairman of an 11-member board. The Los Gatos, California company operates as one segment and reported $45.2 billion in 2025 revenue across four regions: the United States and Canada, Europe, the Middle East and Africa, Latin America, and Asia-Pacific. On Oct. 14, 2026, the co-CEOs told staff that about 1,000 jobs, roughly 6% of the workforce, are being cut, mostly in product, technology, HR and legal (Business Insider, Oct. 14, 2026).

Netflix seller intelligence: what the filings show

Netflix’s strategic priorities

The 10-K states the core strategy in one line: grow the business globally within the parameters of the operating margin target. Pricing plans, including the ad-supported plan, are meant to cover a range of consumer needs.

On the July 16 call, CFO Spencer Neumann put Netflix at under 45% penetration of about 800 million addressable households and about 7% of a $670 billion addressable revenue market. Co-CEO Greg Peters described growth across quality, variety and quantity of viewing, with new formats such as live events, video podcasts, vertical clips and cloud TV games. A pitch tied to margin-disciplined growth matches how the company describes itself.

The full Databahn report maps each priority to the executive who owns it and the budget that funds it.

What Netflix’s executives are paid to deliver

Every named executive officer had a 2025 target bonus of 200% of base salary, paid on two measures: F/X neutral operating margin, weighted 65%, and F/X neutral revenue, weighted 35% (2026 proxy). Long-term pay is split evenly between restricted stock units and performance shares. The performance shares vest on Netflix’s three-year total shareholder return against the S&P 500.

The 2024 performance share tranche that ended in 2025 paid out at a 92nd percentile relative return. With margin carrying nearly two thirds of the bonus, proposals that show an effect on operating margin speak to the measure leadership is paid on.

The full Databahn report connects each pay metric to the outcomes a vendor can influence and the leaders accountable for them.

Netflix spending and capital plans

Content is the largest line. Analysts cited a $20 billion cash content budget on the July call, and Ted Sarandos said content expense will rise about 10% in 2026, with live programming at about 5% of the content budget. Content obligations totaled $25.1 billion at June 30, 2026 (10-Q). Purchases of property and equipment were $688 million in 2025, up from $440 million, and $415 million in the first half of 2026.

Technology and development expense rose 22% to $1.01 billion in Q2 2026. Databahn technographic analysis estimates the 2026 IT budget at $2,749.1 million. On capital returns, the board added a $25 billion buyback authorization on April 22, 2026 (Form 8-K), Netflix repurchased a record $4.7 billion of stock in Q2, and about $27 billion of capacity remained. Proceeds from a $1 billion bond issued July 22, 2026 are intended to repay notes maturing in 2026 (Form 8-K).

The full Databahn report breaks the IT budget into its spending categories and shows where new-project dollars sit.

Acquisitions and integrations

On Dec. 4, 2025, Netflix agreed to buy Warner Bros. Discovery’s streaming and studios businesses, including HBO Max and HBO, at an enterprise value of about $82.7 billion (10-K). WBD ended the agreement on Feb. 27, 2026 to merge with Paramount Skydance, which paid Netflix a $2.8 billion termination fee, and all related financing was terminated (10-Q).

In March 2026 Netflix completed a $587 million cash acquisition (10-Q), reported as AI production company InterPositive (TheWrap). Asked about Lionsgate and NBCUniversal speculation on the July call, Sarandos said Netflix is primarily a builder and keeps a very high bar for large M&A. Earlier deals include Scanline VFX in 2021 and Animal Logic in 2022.

The full Databahn report details the integration work each deal created and which teams own it.

Netflix technology and AI initiatives

Sarandos told analysts that generative AI workflows have been used on roughly 300 titles, concentrated in post-production, through InterPositive, Eyeline and an internal animation lab. The documentary series “The American Experiment” used 17 minutes of AI-enhanced footage, produced twice as fast at half the cost of earlier methods. Savings, he said, will likely be reinvested in more content.

Elizabeth Stone became Chief Product and Technology Officer in February 2026. Monthly active players of cloud games grew 11 times in the eight months after Netflix scaled the program. Netflix has also added a vertical video feed and a ChatGPT-powered search tool (Tech in Asia, April 17, 2026). Databahn technographic analysis puts 2026 spending on artificial intelligence at $295.4 million.

The full Databahn report maps the technology stack by function, with the incumbent in each category.

Risk factors and pressure points

The 10-K risk factors lead with member acquisition and retention, then competition for viewing time, including multi-service discovery interfaces powered by generative AI. They also cover content licensing, privacy, and attacks on Netflix and its vendors. Netflix discloses unauthorized releases of digital content assets and unintended disclosure of personal information tied to third-party incidents. Several countries now impose investment obligations, levies and catalog quotas on streaming services.

Two state lawsuits target data use in advertising. Texas sued in May 2026, alleging illegal data collection, and Netflix called the suit unfounded (ORF, May 12, 2026). Florida followed on Sept. 9, 2026, alleging that household and children’s data fed the ad tier (Law360). The 10-Q also reports $729 million of non-routine payments for prior-period tax assessments in Brazil.

The full Databahn report ties each risk theme to its internal owner and the work underway.

How vendors get approved at Netflix

Netflix runs a third-party security program to identify, prioritize, assess, mitigate and remediate third-party risks, and it uses a widely adopted risk quantification model to rank cybersecurity and technology risks (10-K, Item 1C). Testing includes internal audit reviews, tabletop and red team exercises, penetration testing and a bug bounty program.

An external auditor reviews payment card controls each year under PCI DSS, and assessment results go to the Audit Committee. Vendors that touch member data or payment flows should plan for that review in their timeline.

The full Databahn report outlines the review stages a new provider passes through and who signs off at each.

Who owns security and data decisions

The Senior Director, Security, Privacy & Assurance leads Netflix’s global information security organization and has over 20 years in the field (10-K). That leader reports regularly to the Audit Committee, chaired by Ann Mather, which oversees cybersecurity risk. The full board oversees the annual enterprise risk assessment.

On the management side, Elizabeth Stone is Chief Product and Technology Officer and Gagan Hasteer is VP of Infrastructure Engineering; the filings do not state who the security leader reports to. In engagement meetings after the 2025 annual meeting, stockholders asked about generative AI governance, data privacy and cybersecurity (2026 proxy).

The full Databahn report names the leaders below the executive team who run security, data and infrastructure decisions.

Each change resets who sets priorities in that part of the company.

The full Databahn report tracks each new leader’s background and the mandate they brought with them.

Systems and business transformations

Netflix reported no change in internal control over financial reporting for Q2 2026 (10-Q, Item 4). During 2025 it stopped reporting membership counts and now treats revenue and operating margin as its primary financial metrics (10-K). A ten-for-one stock split took effect Nov. 14, 2025.

On the product side, Peters described the TF1 integration in France, tests of free trials for new members, a low-cost first month in Japan and wider plan choices. Netflix will also move its detailed engagement report from twice a year to once a year (Business Insider).

The full Databahn report covers which platforms are mid-change and where the next replacement decisions fall.

Shareholder pressure

Jay Hoag did not receive a majority of votes cast at the 2025 annual meeting and offered his resignation, which the board rejected on June 22, 2025 (2026 proxy). At the June 4, 2026 meeting he was re-elected with about 93% of votes cast and then named Chairman. Say on Pay passed with about 83% of votes cast.

A stockholder proposal to allow action by written consent drew about 44% support and failed. Proposals on an ESG ROI report, politicized brand misalignment and cumulative voting also failed. Pershing Square disclosed a new 3.15 million share stake in August 2026 (Eciks).

The full Databahn report explains how this investor attention shapes approval thresholds for new spending.

Netflix locations by territory

Headquarters is in Los Gatos, with a second principal site in Los Angeles; the 10-K gives no facility count. Q2 2026 revenue by region: United States and Canada $5.43 billion, EMEA $4.03 billion, Latin America $1.58 billion and Asia-Pacific $1.51 billion. Latin America grew fastest, at 21%.

Long-lived tangible assets and lease assets sat at $3.29 billion in the United States and $1.14 billion internationally at June 30, 2026 (10-Q). Leadership bios place content teams across Asia, India, Latin America and EMEA, regional finance in EMEA, and Netflix offices in São Paulo, Madrid and Mexico City.

The full Databahn report shows which teams and decision makers sit in each region.

What Netflix management told analysts

On July 16, 2026, Neumann guided Q3 revenue growth to 12% reported and 11% F/X neutral, and full-year 2026 growth to 13% to 14%, about $6 billion of added revenue. Peters said viewing hours grew 2% in the first half and that the gap between ad-tier and standard-plan revenue per member is narrowing as Netflix adds ad products and measurement.

Peters said a free tier could make sense in some markets but Netflix has no near-term plans to launch one. Netflix later won Spain’s rights to the 2030 men’s World Cup (Yahoo Sports, Oct. 13, 2026). Q3 results arrive Oct. 20, 2026.

The full Databahn report turns each commitment into conversation openers that line up with it.
