Walmart’s strategic priorities
The fiscal 2026 10-K sets four strategic aims: make every day easier for busy families, operate with discipline, sharpen the culture and become more digital, and make trust a competitive advantage. On the August 20, 2026 call, Furner tied growth to Marketplace, advertising and membership reinforcing one another, with global eCommerce up 23% in the quarter. An offer framed around one of those four aims lands in a budget that already exists.

What Walmart’s executives are paid to deliver
Fiscal 2026 cash bonuses for the CEO, CFO and CTO were weighted 50% on operating income and 50% on sales. Segment leaders carry segment goals: 75% of Furner’s fiscal 2026 bonus, earned as head of Walmart U.S., rode on that segment’s results. Performance equity pays on return on investment and sales, 50% each, and about 82% of the CEO’s target pay was performance-based. Spending and capital plans
Walmart spent $26.6 billion on capital projects in fiscal 2026, $16.5 billion of it on U.S. supply chain, customer-facing initiatives and technology. The 10-K projected $25 billion to $27 billion for fiscal 2027; in August the CFO said capex would come in slightly higher, at about 4% of annual net sales, and first-half spending had already reached $14.2 billion. Walmart also carries $41.4 billion in unrecorded purchase obligations, $18.3 billion of it due within a year. That money is already spoken for.

Acquisitions and integrations
Walmart bought VIZIO in December 2024 for net consideration of $1.9 billion and reports it inside Walmart U.S. It agreed to buy Vibe.co, a connected TV advertising platform, on June 23, 2026 and completed the deal on August 4, 2026 (announcement, completion, Walmart newsroom). On the Q2 FY2027 call, management said Vibe adds self-service tools for advertisers of all sizes and expects Vibe costs to trim about 20 basis points from fiscal 2027 operating income growth. PhonePe modified its share-based pay in contemplation of a potential IPO, which cut Walmart’s stake from about 84% to about 73%. Each integration reopens decisions on data, reporting and tools.

Technology and AI initiatives
In August 2025 Walmart created an Executive Vice President role for AI Acceleration, Product and Design and hired Daniel Danker, formerly Chief Product Officer at Instacart. Customers using Sparky rose 70% year over year, and those who shop with it spend 40% more per order. About 3,100 U.S. stores receive some automated freight, and more than half of eCommerce fulfillment volume runs through automated facilities. AI at Walmart has a named executive and published results, so new proposals get judged against numbers the company already tracks.

Risk factors and pressure points
The 10-K names tariffs, fuel and labor costs, cyber threats and pharmacy reimbursement among Walmart’s main risks, and discloses cybersecurity incidents in fiscal 2026 that it says were not material. In fiscal 2027 so far, Walmart received about $2.9 billion in tariff refunds and put much of it into prices, expects more than $2 billion in extra fuel costs, and absorbed a 125 basis point drag on Walmart U.S. comparable sales from Maximum Fair Price drug pricing. Self-insured general liability claims rose about $0.9 billion in fiscal 2026. Offers that cut fuel, claims or pharmacy costs map to pressure the CFO has described in public.

How vendors get approved
Per 10-K Item 1C, Walmart runs risk-based security and privacy impact assessments when it makes significant changes to its technology or information systems, and applies a risk-based third-party program to vendors, service providers and subcontractors that use its data or systems. The program is informed by the NIST Cybersecurity Framework, and suppliers must meet Walmart’s standards of conduct. Vendors that arrive with security and privacy documentation ready move faster once a business sponsor says yes.

Who owns security and data decisions
The board’s Audit Committee oversees information systems, information security, data privacy, cybersecurity and the use of AI tools, and hears directly from the Chief Information Security Officer. The 10-K says the CISO, a Walmart associate for more than 30 years, reports to Global CTO Suresh Kumar; Walmart’s leadership page lists Jerry R. Geisler III as Executive Vice President and CISO. The Technology and eCommerce Committee, chaired by Sarah Friar, reviews the company’s development and use of technology, including AI.

Leadership changes
John Furner became President and CEO on February 1, 2026, succeeding Doug McMillon, who stays on as an employee through January 31, 2027 under his retirement agreement. That same month David Guggina took over Walmart U.S., Christopher Nicholas moved to Walmart International, Latriece Watkins moved to Sam’s Club U.S., Seth Dallaire became enterprise Chief Growth Officer and Dwayne Milum became Controller. Walmart filed a separation agreement with Kathryn McLay dated January 28, 2026. On the board, Shishir Mehrotra joined in January 2026, and Tim Flynn, Brian Niccol and McMillon left at the June 4 meeting. Systems and business transformations
Walmart’s July 2026 10-Q says it is upgrading its financial systems globally and modernizing functions across the business, work it expects to affect internal control over financial reporting. Audit fees rose to $44.7 million in fiscal 2026 from $36.3 million, driven partly by that modernization. During fiscal 2026 Walmart also began folding the Sam’s Club U.S. supply chain function into Walmart U.S. Two big back-office systems are moving at once.

Shareholder pressure
Four shareholder proposals went on the 2026 ballot: cumulative voting for board elections, a report on workplace health and safety governance, a report on how immigration policy affects operations, and a report on the workforce effects of AI and automation. The board recommended against all four. Walton Enterprises, LLC held voting power over 44.11% of shares as of April 10, 2026. Walmart locations by territory
As of July 31, 2026, Walmart ran 11,000 retail units: 4,615 Walmart U.S. stores, 5,783 Walmart International units and 602 Sam’s Club U.S. clubs. At fiscal year-end, Walmart U.S. had 3,566 Supercenters, 351 Discount Stores and 694 Neighborhood Markets and small formats, served by 192 U.S. distribution facilities. Internationally, Walmart operates in Mexico, Central America, Canada, Chile, China, India and eight African countries, with 179 distribution facilities. Mexico and Central America was the largest international market at $52.5 billion in fiscal 2026 net sales, followed by China at $24.6 billion and Canada at $23.7 billion.

What Walmart’s management told analysts
On August 20, 2026, Walmart raised fiscal 2027 guidance: sales growth of 4% to 5% (from 3.5% to 4.5%), operating income growth of 7% to 8.5% (from 6% to 8%) and EPS of $2.80 to $2.87. For Q3 it guided sales growth of 3% to 3.75% and EPS of $0.62 to $0.64. CFO John David Rainey said Q2 operating income growth included a net benefit of about 750 basis points from tariff refunds, and that growth without it was at the top end of the 7% to 10% guidance. Walmart U.S. ended Q2 with more than 11,000 rollbacks, and the company said it is putting much of its tariff refunds into lower prices. Leadership is on the record for these numbers.
